Conflict of Interest Policy

Takaroj Finance is committed to the fair management of conflicts of interest, in accordance with the requirements of the Capital Market Institutions Regulations issued by the Saudi Capital Market Authority.

Definition of Conflict of Interest
Any situation in which the objectivity of a decision or action by a member of the company or its personnel may be affected by a personal interest that conflicts with the interest of a client or an issuer registered on the platform.

Parties Covered
Members of the Governing Body, executive management, and all company personnel.

Conflicts Specific to Our Activity
Given the company’s dual role as registrar of shareholder records and operator of the platform through which those shares are transferred, particular attention is given to the following:

  • Access by personnel to undisclosed issuer information by virtue of maintaining that issuer’s shareholder register.
  • A commercial relationship between the company or an affiliate and an issuer registered on the platform.
  • A conflict of interest between a seller and a buyer within a single execution window.

Procedures
The company maintains an internal register of all actual or potential conflicts, discloses them in writing to the affected party when they arise, and applies information barriers that restrict access to confidential and inside information to authorized personnel only. No employee may participate in a decision concerning an issuer or client in which they hold a personal interest without prior disclosure.
